Speechmatics Model Training Addendum

Speechmatics (USA) Inc. is a Delaware corporation with a registered address located at Corporation Trust Center, 1209 Orange Street, Wilmington, New Castle County, Delaware, 19801 (“Speechmatics”). You have entered into an agreement governing Your use of Speechmatics’ Software and Services (“Terms and Conditions”) with Speechmatics (each a “Party” and collectively the “Parties”) and by Enabling Model Training, You agree to the terms of this Model Training Addendum (“Addendum”) which is incorporated into Speechmatics’ Terms and Conditions.

Any capitalized terms used but not defined in this Addendum shall have the meaning provided in the Agreement. If there is a conflict in meaning between the Terms and Conditions and this Addendum, this Addendum shall prevail and control. This Addendum will remain in effect until the expiration or termination of the Terms of Service.

1. Definitions

1.1 The definitions in this section apply in this Addendum.

“Enable” and “Enabling”: means turning on Model Training by switching the Model Training toggle on via the Portal.

“Disable” or “Disabling”: means turning off Model Training by switching the Model Training toggle off via the Portal.

“Model Training”: means the use and processing of Your Data in anonymized format, if directly Enabled by You, to train Speechmatics’ artificial intelligence product (including but not limited to machine learning and other modeling services) to further improve and develop Speechmatics’ Software and Services.

“Privacy Policy”: means the Speechmatics privacy policy available at: https://www.speechmatics.com/legal/privacy-policy

“Purpose”: means to develop, improve, and secure Speechmatics’ Software and Services.

“Your Data”: means any data or content (including aggregate, transformed or transcribed outpouts) that is provided by You (including from third-party sources) or created by You in using Speechmatics’ Software or Services for processing in or through Speechmatics’ software and Services for the Purpose.

1.2 Expressions defined in the Terms and Conditions and used in this Addendum have the meaning set out in the Terms and Conditions.

2. Data Use

2.1 As part of utilizing the Software You will share digitized audio containing Your Data to Speechmatics. You acknowledge that by Enabling Model Training, Your Data is shared with Speechmatics voluntarily. You hereby give consent to Speechmatics to use and process Your Data for the Purpose.

2.2 You hereby consent for Speechmatics to share Your Data with Speechmatics’ Affiliates, employees, contractors and other third parties (“Authorised Persons”) and consent Authorized Persons to use and process Your Data for the Purpose.

2.3 You will have the option to Disable at any time at your discretion. If You do not want to continue to share Your Data with Speechmatics under this Addendum, You acknowledge that it is your responsibility to Disable Model Training directly. If Model Training is Disabled, You acknowledge that You will no longer be able to use Model Training.

2.4 You acknowledge and agree to Speechmatics’ Privacy Policy which is incorporated into this Addendum by reference.

2.6 To the extent Your Data contains Personal Data, such Personal Data shall be processed by Speechmatics as an independent data controller and in accordance with Speechmatics’ Privacy Policy.

3. Licence and Intellectual Property Rights

3.1 You hereby grant to Speechmatics a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable right and license to use, distribute, disclose, and make and incorporate Your Data into Speechmatics’ Software and Services for the Purpose.

3.2 Speechmatics shall own all improvements, developments and modifications to the Software and all Intellectual Property Rights therein resulting or arising from this Addendum. No implied rights are granted under this Addendum.

3.3 This Addendum does not impose any restrictions with respect to Model Training.

4. Disclaimer

NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, SPEECHMATICS MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND WHETHER EXPRESS, IMPLIED (EITHER IN FACT OR BY OPERATION OF LAW), OR STATUTORY, AS TO ANY MATTER WHATSOEVER. SPEECHMATICS EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, ACCURACY, TITLE, AND NON-INFRINGEMENT. SPEECHMATICS DOES NOT WARRANT AGAINST INTERFERENCE WITH THE ENJOYMENT OF THE SOFTWARE. SPEECHMATICS DOES NOT WARRANT THAT THE SOFTWARE IS ERROR-FREE OR THAT OPERATION OF THE SOFTWARE WILL BE SECURE OR UNINTERRUPTED. SPEECHMATICS DOES NOT WARRANT THAT ANY INFORMATION PROVIDED THROUGH THE SOFTWARE IS ACCURATE OR COMPLETE OR THAT ANY INFORMATION PROVIDED THROUGH THE SOFTWARE WILL ALWAYS BE AVAILABLE. SPEECHMATICS EXERCISES NO CONTROL OVER AND EXPRESSLY DISCLAIMS ANY LIABILITY ARISING OUT OF OR BASED UPON THE RESULTS OF YOUR USE OF THE SOFTWARE, THE DOCUMENTATION, OR ANY SPEECHMATICS’ CONFIDENTIAL INFORMATION. SPEECHMATICS IS NOT RESPONSIBLE OR LIABLE FOR ANY THIRD PARTY SERVICES PROVIDED IN THE COURSE OF DELIVERING SOFTWARE OR SERVICES, INCLUDING (IF APPLICABLE) ANY THIRD PARTY MODEL SERVICE (INCLUDING WITHOUT LIMITATION, OUTAGES, FAILURES, UPTIME GUARANTEES), YOUR INPUT TO SOFTWARE AND SERVICES, OR OUTPUT FROM SOFWARE AND SERVICES (INCLUDING BUT NOT LIMITED TO WHETHER ANY OUTPUT FROM SOFTWARE OR SERVICES INFRINGES OR VIOLATES ANY THIRD PARTY’S RIGHTS, AND COMPLETENESS OR ACCURACY OF ANY OUTPOUT FROM SOFTWARE OR SERVICES)

5. General

This Addendum shall be governed and construed in accordance with the laws that govern the Terms and Conditions. Any dispute or claim, whether contractual or non-contractual, arising out of or in connection with this Addendum (including its subject matter and formation), shall be governed by the dispute resolution provisions within the Terms of Service. If any term of these Terms and Conditions is found to be illegal, invalid or unenforceable under any applicable law, such term shall, insofar as it is severable from the remaining terms, be deemed omitted from these Terms and Conditions and shall in no way affect the legality, validity or enforceability of the remaining terms. Speechmatics reserves the right to amend this Addendum at any time. No waiver of any breach shall be deemed a waiver of any subsequent breach.
